1. Contracting entity
Excellia, LLC provides the websites and software referenced in these Terms. “You” refers to the individual or organization using our services.
2. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of forming a binding contract to use our products. If you are using our services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Accounts
You are responsible for safeguarding the credentials used to access Excellia products. Notify us immediately at hello@excelliaco.com if you suspect unauthorized access.
4. Acceptable use
- Do not disrupt or attempt to gain unauthorized access to any service, system, or network.
- Do not reverse engineer, decompile, or extract source code from our software except as permitted by law.
- Do not use the services to create, upload, or distribute unlawful, infringing, or harmful content.
- Do not represent that outputs generated by the products are human-made without appropriate context where required by law.
5. Intellectual property
Excellia retains all rights, title, and interest in the services, including software, documentation, branding, and proprietary content. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the services for your internal business purposes.
6. Customer content
You retain ownership of the content you submit to Excellia products. You grant us a limited license to process, store, and use that content solely to provide and improve the services and to comply with legal obligations. We do not claim ownership of outputs generated for you.
7. Beta features
We may offer experimental or preview features identified as “beta,” “labs,” or similar. Beta features are provided “as is” and may be modified or discontinued at any time.
8. Disclaimers
The services are provided on an “as is” and “as available” basis. Excellia disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that outputs will be accurate, error-free, or suitable for every use case.
9. Limitation of liability
To the maximum extent permitted by law, Excellia, LLC, its affiliates, and personnel will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability arising out of or relating to these Terms is limited to the amount you paid to use the services during the twelve (12) months preceding the event giving rise to the liability.
10. Indemnification
You agree to indemnify and hold harmless Excellia and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the services or violation of these Terms.
11. Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. All disputes will be resolved in the state or federal courts located in New Castle County, Delaware, and both parties consent to jurisdiction in those courts.
12. Changes
We may update these Terms from time to time. Material changes will be posted on this page with an updated “Last updated” date. Continued use of the services after the revised Terms take effect constitutes acceptance.
